The General Meeting of Members

The General Meeting of members has the power to:

  1. Appoint and dismiss the 12 members of the Management Board;
  2. Appoint the authorised statutory auditors responsible for the contractual audit of the grouping's annual accounts;
  3. Approve the annual accounts and grant discharge to the members of the Management Board;
  4. Amend the articles of association of the economic interest grouping EIG);
  5. Determine the admission and admission conditions for new members of the grouping;
  6. Decide to file a request for exclusion of a member of the grouping before a court.

The General Meeting consists of all the members of the group.

In addition to the Ministry of Justice, several government administrations are associated with the Accounting Standards Board, namely the “Administration de l’enregistrement, des domaines et de la TVA (AED)” (Registration Duties, Estates and VAT Authority), the “Administration des contributions directes (ACD)” (Luxembourg Inland Revenue) and the “Institut national de la statistique et des études économiques” (National Institute for Statistics and Economic Studies (STATEC)).

"Banque centrale du Luxembourg (BCL)" (Central Bank of Luxembourg)

The Central Bank of Luxembourg (BCL) is the monetary authority of Luxembourg and a member of the Eurosystem and the European System of Central Banks.

It was established on 1 June 1998 in accordance with the provisions of the Law of 22 April 1998. It is currently governed by its Organic Law of 23 December 1998, as amended on several occasions.

"Commissariat aux assurances" (Regulator of the Insurance Sector)

The Regulator of the Insurance Sector, a public institution established by the Law of 7 December 2015 on the insurance sector, with its registered office in Luxembourg, whose purpose is to carry out the tasks defined in Article 2 of the said law.

"Commission de surveillance du secteur financier" (Financial Sector Supervisory Commission)

The Financial Sector Supervisory Commission is a public institution established by the amended law of 23 December 1998 establishing a financial sector supervisory commission, with its registered office in Luxembourg, whose purpose is to perform the tasks defined in Section 2 of the said law.

The Chamber of Commerce, a public institution established by the amended law of 26 October 2010 on the reorganisation of the Chamber of Commerce, with its registered office in Luxembourg, whose purpose is to coordinate, safeguard and defend the interests of its constituants.

"Institut des réviseurs d'entreprises" (Professional Association for Statutory Auditors)

The Professional Association for Statutory Auditors, a professional body established by the amended law of 18 December 2009 on the audit profession, with its registered office in Luxembourg, whose purpose is to defend the rights and interests of the profession and to exercise the powers defined in Article 31 of the said law.

"L’Ordre des experts-comptables" (Order of Chartered Accountants)

The Order of Chartered Accountants, a professional body established by the amended law of 10 June 1999 on the organisation of the profession of chartered accountant, with its registered office in Luxembourg, whose purpose is to defend the rights and interests of the profession and to exercise the powers defined in Article 11 of the said law.
